These Terms and Conditions (“Terms”) govern your access to and use of our School Management Software as a Service (SaaS), including our website, web application, and mobile applications (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • “Service” refers to the school management software, website, and mobile applications.

  • “User” refers to any person accessing or using the Service, including administrators, teachers, parents, students, and visitors.

  • “School” refers to any educational institution registered on the platform.

  • “We”, “Us”, “Our” refer to the Service provider.

2. Eligibility and Authority

By using the Service, you confirm that:

  • You are at least 18 years old, or

  • You are using the Service under the authority of a school, parent, or legal guardian.

School administrators confirm that they are authorized to register and manage data on behalf of their institution.

3. Description of the Service

The Service provides digital tools for school administration, including but not limited to:

  • Student information management

  • Attendance and academic records

  • Staff and teacher management

  • Parent communication

  • Fees and billing management

  • Reports and analytics

Features may vary by subscription plan.

4. User Accounts

4.1 Account Responsibility

Users are responsible for:

  • Maintaining the confidentiality of login credentials

  • All activities that occur under their account

4.2 Account Accuracy

Users agree to provide accurate and up-to-date information. We reserve the right to suspend or terminate accounts with false or misleading information.

5. School and Student Data

  • Schools retain ownership and control of their data, including student and staff records.

  • We process data only to provide and improve the Service.

  • Schools are responsible for ensuring they have lawful authority and consent to upload and manage student and staff data.

6. Acceptable Use

Users agree not to:

  • Use the Service for unlawful purposes

  • Upload malicious software or harmful code

  • Attempt unauthorized access to systems or data

  • Interfere with or disrupt the Service

  • Use the Service in a way that violates the rights of others

We reserve the right to suspend or terminate access for violations.

7. Subscriptions and Payments

7.1 Paid Services

Some features require a paid subscription. Fees, billing cycles, and payment terms will be clearly communicated before purchase.

7.2 Non-Refundable Fees

Unless otherwise stated in writing, subscription fees are non-refundable.

7.3 Changes to Pricing

We may update pricing with reasonable prior notice to active subscribers.

8. Data Protection and Privacy

Use of the Service is also governed by our Privacy Policy, which explains how personal data is collected, processed, and protected in accordance with the Uganda Data Protection and Privacy Act, 2019.

9. Service Availability

We strive to maintain continuous availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Maintenance

  • Updates

  • Technical issues

  • Events beyond our reasonable control

10. Intellectual Property

All intellectual property rights in the Service, including software, content, trademarks, and logos, are owned by us or our licensors.

Users are granted a limited, non-exclusive, non-transferable license to use the Service during their subscription period.

11. Termination

11.1 Termination by User

Users may stop using the Service at any time. Schools may request account termination subject to outstanding obligations.

11.2 Termination by Us

We may suspend or terminate access if:

  • These Terms are violated

  • The Service is misused

  • Required payments are not made

12. Limitation of Liability

To the fullest extent permitted by Ugandan law:

  • We shall not be liable for indirect, incidental, or consequential damages

  • We are not responsible for data loss caused by user actions, third-party services, or events beyond our control

Use of the Service is at your own risk.

13. Indemnification

Users agree to indemnify and hold us harmless from claims, damages, or losses arising from:

  • Misuse of the Service

  • Violation of these Terms

  • Unlawful handling of data uploaded to the platform

14. Third-Party Services

The Service may integrate with third-party tools or services. We are not responsible for their availability, content, or practices.

15. Modifications to the Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of the Service constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes shall be subject to the exclusive jurisdiction of Ugandan courts.
